Terms of Service

1. Agreement to Terms

By accessing or using Remi, operated by Encourage Software LLC ("Remi", "Service", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you are not authorized to access or use the Service.

These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

Remi is a mobile and web application that allows users to:

• Capture and organize personal memories and notes
• Use AI-powered insights and summaries based on memory content you choose to process
• Search, filter, and retrieve notes for personal use

We reserve the right to modify, suspend, or discontinue any part of the Service at any time without notice.

3. Apple ID and subscriptions

Remi does not require you to create a Remi username or password. You use the app on your device. Premium features are sold as auto-renewable subscriptions through the App Store, using your Apple ID. You are responsible for activity on your device and Apple ID, and for keeping that Apple ID secure.

4. Acceptable Use

You agree to use Remi only for lawful, personal purposes. You may not:

• Violate laws or regulations using the Service
• Transmit harmful, offensive, or inappropriate content
• Impersonate another person
• Interfere with others' use of the Service
• Use automated tools to access the Service without authorization
• Introduce viruses, malware, or malicious code
• Attempt unauthorized access to any part of the Service
• Collect or harvest other users' data

5. User Content

When you add or choose to process content in Remi, including notes, photos, or memory entries, you:

• Retain ownership of your content
• Grant us a limited, non-exclusive license to process that content only as needed to operate the Service and provide features you request
• Understand that Remi does not store the text of your memory notes or extracted note content in our own databases or servers
• Represent that you have the rights to submit the content
• Agree that your content does not violate third-party rights

We may remove content that violates these Terms or is otherwise objectionable.

6. AI Insights Disclaimer

Remi's AI provides automated insights, summaries, and suggestions based on your notes. These outputs are generated from your data and are for informational purposes only.

You understand that:

• AI-generated insights may not be perfect or error-free
• AI outputs should not be relied on as professional advice in any field
• You remain responsible for all decisions based on your content and AI outputs

7. Intellectual Property

The Service and its original content (excluding user content), features, and functionality are owned by Encourage Software LLC and protected by copyright, trademark, and other intellectual property laws.

You may not:

• Copy, modify, or distribute Service content without permission
• Use our trademarks without written consent
• Reverse engineer or attempt to extract source code
• Create derivative works based on the Service

8. Privacy

Your use of Remi is governed by our Privacy Policy. By using the Service, you consent to our collection and use of information as described in the Privacy Policy.

9. Subscriptions and Payments

Some features of Remi require a paid subscription for premium AI functionality.

• By subscribing, you authorize payment charges for the subscription term
• Subscriptions automatically renew unless canceled
• You may cancel in your Apple ID subscription settings
• Refunds are handled according to our refund policy
• We may update subscription prices with notice
• Free trials automatically convert to paid subscriptions unless canceled before the trial ends

10. Third-Party Services

Remi may integrate or link to third-party services. We are not responsible for third-party content, privacy policies, or practices. Third-party services are governed by their own terms.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR RELIABILITY OF INFORMATION

We do not guarantee uninterrupted or error-free service.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REMI SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, or consequential damages
• Loss of data, use, or goodwill
• Service interruptions or errors
• Damages exceeding amounts paid in the last 12 months

Some jurisdictions may not allow certain exclusions, so limitations may not apply in full.

13. Indemnification

You agree to indemnify and hold harmless Remi, its affiliates, and their officers, directors, and employees from any claims, damages, or losses arising from:

• Your use of the Service
• Violation of these Terms
• Submission of content or use of AI outputs

14. Termination

We may suspend or stop providing the Service, including for breach of these Terms or conduct that harms the Service.

You may stop using Remi at any time by deleting the app. Memories on your device are removed with the app unless they remain in your iCloud. Cancel Premium separately in your Apple ID settings if needed.

15. Governing Law

These Terms are governed by the laws of the United States and the State of California. Disputes are subject to state or federal courts in California.

16. Dispute Resolution

Disputes should first be attempted to resolve through negotiation. If unsuccessful, disputes will be resolved via binding arbitration under the American Arbitration Association rules, except where prohibited. You waive the right to class actions or class arbitration.

17. Changes to Terms

We may modify these Terms at any time. Notice of material changes will be provided by:

• Posting updated Terms on this page
• Updating the "Effective Date"

Continued use constitutes acceptance of the new Terms.

18. Severability

If any provision is invalid or unenforceable, remaining provisions continue in full effect.

19. Entire Agreement

These Terms and the Privacy Policy constitute the complete agreement regarding your use of Remi.
